O conceito de “pessoa especialmente relacionada com o devedor”, previsto no art. 49.º Código de Insolvência e de Recuperação de Empresas1 , conquanto se tenha traduzido numa novidade legislativa com a entrada em vigor do referenciado diploma legal, foi larga e insuficientemente, inspirado nos ordenamentos jurídicos alemão, espanhol e norte-americano. Pese embora o conceito supra mencionado tenha surgido em virtude da criação legislativa de uma nova categoria de credores (os subordinados), a verdade é que o mesmo se encontra vertido em outros institutos jurídico-insolvenciais, a saber: no âmbito do Processo Especial de Revitalização; no âmbito da Resolução em Benefício da Massa Insolvente; bem como, no âmbito da Qualificação da Insolvência como Culposa. Desde março de 2004 (ano de entrada em vigor do CIRE) até, pelo menos, janeiro de 2022, a doutrina e jurisprudência deparou-se com duas enormes questões: por um lado, saber se o elenco previsto no art. 49.º do CIRE possuía um caráter taxativo, ou, meramente exemplificativo; e por outro lado, compreender se o instituto jurídico em causa configurava uma presunção juris tantum ou juris et de jure. Sucede que, ainda que no decurso da presente Dissertação de Mestrado tenha surgido a Lei n.º 9/2022 de 11.01, que teve por finalidade colocar um termo ao celeuma doutrinário-jurisprudencial que durante anos se fez (muito) ouvir e escrever, a verdade é que continuam a persistir e eclodir obstáculos do ponto de vista teleológicos e, inclusive, constitucionais, pelo que nos urge apelar às respetivas soluções.
The concept of "person especially related to the debtor", provided in article 49 of the Insolvency and Corporate Restructuring Code, although it has been a legislative innovation with the entry into force of the referred law, was largely and insufficiently inspired in the German, Spanish and North American legal systems. In spite of the fact that the aforementioned concept has arisen due to the legislative creation of a new category of creditors (the subordinated creditors), the truth is that the same concept is found in other legal-insolvency institutes, namely: within the scope of the Special Revitalization Process; within the scope of the Resolution for the Benefit of the Insolvent Estate; as well as, in the scope of the Qualification of Insolvency as Guilty. Since March 2004 (when the CIRE came into force) until at least January 2022, legal scholars and case law have been faced with two major issues: on the one hand, whether the list provided for in art. 49 of the CIRE was exhaustive or merely an example; and on the other hand, whether the legal institute in question constituted a presumption juris tantum or juris et de jure. The fact is that, although during the course of this Master's Dissertation, Law No. 9/2022 of 11.01 appeared, which was intended to put an end to the doctrinaire-jurisprudential kerfuffle that had been (much) studied and written about for years, the truth is that obstacles continue to persist and erupt from a teleological and even constitutional point of view, so it is urgent that we appeal to the respective solutions. |
