| مستخلص: | The article aims to review the figure of the exclusion of shareholders in the closed public company, to identify its origin, causes and way of establishing it in Ecuadorian legislation. Therefore, the application of a descriptive qualitative research is chosen to review the current literature on the closed corporation in South American countries, identifying the characteristics of the closed corporations, their regulation and, subsequently, the existence of the figure of the exclusion of shareholders. Likewise, the characteristics of the family or closed corporation, the causes of exclusion and the importance of its regulatory regulation are identified, proposing that the law allow the statutory possibility to agree on an exclusion clause. The article concludes that Ecuadorian legislation does not distinguish between the figures of open and closed corporations, and it is necessary that there be a reform that establishes the parameters to identify closed corporations, whether family-owned or not, and to differentiate them from open corporations. , taking into account that in the national reality there is a majority percentage of closed or family-owned corporations. El artículo tiene el objetivo de revisar la figura de la exclusión de los accionistas en la compañía anónima cerrada, para identificar su procedencia, causales y forma de establecerla en la legislación ecuatoriana. Por lo tanto, se escoge la aplicación de una investigación cualitativa de tipo descriptiva para revisar la literatura actual sobre la sociedad anónima cerrada en países de América del Sur, identificando las características de las compañías anónimas cerradas, su regulación y, posteriormente, la existencia de la figura de la exclusión de los accionistas. Asimismo, se identifica las características propias de la sociedad anónima familiar o cerrada, las causales de la exclusión y la importancia de su regulación normativa, proponiendo que la ley permita la posibilidad estatutaria para pactar una cláusula de exclusión. El articulo concluye que en la legislación ecuatoriana no se distingue entre las figuras de sociedad anónima abierta y cerrada, siendo necesario que exista una reforma que establezca los parámetros para identificar a las sociedades anónimas cerradas, sean familiares o no y diferenciarlas de las sociedades anónimas abiertas, tomando en cuenta que la realidad nacional existe un porcentaje mayoritario de sociedades anónimas cerradas o familiares. |
